By creating an account, accessing, or using Transcribee ("Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Transcribee.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

Transcribee is a SaaS (Software as a Service) platform that provides AI-powered audio and video transcription services. Our service includes:

• Audio and video file transcription using OpenAI's Whisper technology
• Multi-language support for 50+ languages
• Speaker detection and identification
• AI-powered summaries and key points extraction
• Text editing and export functionality
• Secure storage of recordings and transcripts

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. User Accounts

3.1 Account Creation

To use the Service, you must:

• Be at least 13 years of age
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your account information

3.2 Account Responsibility

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your password
• Notifying us immediately of any unauthorized use
• Ensuring compliance with these Terms by anyone using your account

3.3 Account Termination

You may delete your account at any time through the account settings. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Plans and Free Tier

4.1 Free Plan

Our Free Plan includes:

• Up to 5 recording transcriptions per month
• Maximum file size limitations
• Basic features and functionality
• Standard processing speed

Free Plan limits reset on the first day of each calendar month. Unused transcriptions do not roll over to subsequent months.

4.2 Paid Plans

Paid subscription plans offer:

• Increased transcription limits or unlimited transcriptions
• Larger file size limits
• Priority processing
• Advanced features and functionality
• Enhanced support

5. Payment Terms

5.1 Billing

For paid subscriptions:

• Subscriptions are billed on a recurring basis (monthly or annually)
• Payment is due at the start of each billing period
• We accept major credit cards and other payment methods as available
• All fees are in USD unless otherwise stated

5.2 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You authorize us to charge your payment method for recurring fees.

5.3 Refund Policy

We offer refunds under the following conditions:

• Service outages or technical issues preventing service use
• Billing errors or duplicate charges
• Cancellation within 7 days of initial subscription purchase

5.4 Price Changes

We reserve the right to change subscription prices with 30 days' notice. Existing subscribers will be notified of price changes via email.

6. Content Ownership and License

6.1 Your Content

You retain all ownership rights to audio files, videos, and content you upload ("Your Content"). By using the Service, you grant us a limited license to:

• Process and transcribe your audio files
• Store Your Content for the duration you specify
• Display transcripts and summaries to you
• Use anonymized data for service improvement

6.2 Transcripts

Transcripts generated by the Service are provided to you for your use. You are responsible for verifying transcript accuracy and compliance with your intended use.

6.3 Service Content

The Service interface, features, and all related intellectual property are owned by Transcribee. You may not copy, modify, distribute, or create derivative works without permission.

7. Acceptable Use Policy

You agree NOT to use the Service to:

• Upload content that is illegal, harmful, or infringes on others' rights
• Transcribe content without proper authorization or consent
• Violate any applicable laws or regulations
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Use the Service for any unlawful or prohibited purpose
• Resell or redistribute the Service without authorization
• Scrape, copy, or extract data using automated means
• Upload content containing personal information without consent

Violation of this policy may result in immediate account termination.

8. Account Termination and Suspension

8.1 Termination by You

You may cancel your subscription and delete your account at any time through account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• No refunds will be provided for unused portions of paid subscriptions
• Your data will be retained according to our Privacy Policy

8.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms of Service
• Your payment method fails or charges are disputed
• You engage in fraudulent or illegal activity
• Required by law or legal process

8.3 Effect of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• We may delete your content and data after a grace period
• Outstanding fees remain due and payable
• You must cease all use of the Service

9. Disclaimers and Warranties

9.1 Service Provided "As Is"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding transcription accuracy or completeness
• Warranties regarding security or data loss prevention

9.2 Transcription Accuracy

While we strive for high accuracy, transcriptions may contain errors. You are responsible for:

• Reviewing and verifying transcript accuracy
• Ensuring transcripts meet your requirements before use
• Any consequences resulting from transcript errors

9.3 Third-Party Services

We use third-party services (including OpenAI) for transcription. We are not responsible for the performance, availability, or actions of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Transcribee shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim shall not exceed the amount you paid us in the 12 months prior to the claim
• We are not liable for data loss, business interruption, or lost profits
• We are not responsible for errors, omissions, or inaccuracies in transcriptions
• We are not liable for unauthorized access to or use of your data

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Transcribee, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Your Content uploaded to the Service

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date
• Material changes will be communicated via email
• Continued use after changes constitutes acceptance
• If you disagree with changes, you must stop using the Service

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Transcribee is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties
• Binding arbitration if negotiation fails
• Courts of competent jurisdiction in our registered location

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Transcribee.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.

14.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms at any time.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
